Terms of Service
Last Updated: September 17, 2026
These Terms of Service explain the use of the XinshunPCB website and the general framework for business-to-business enquiries and projects involving PCB fabrication, component sourcing, PCB assembly, engineering support, and OEM/ODM manufacturing. “XinshunPCB,” “we,” and “us” refer to the business operating under the XinshunPCB brand. The legal entity contracting for an order is the entity identified in the accepted quotation, order confirmation, or signed agreement.
1. Scope and Order of Precedence
Our services may include rigid, flex, rigid-flex, HDI, and metal-core PCB fabrication; SMT, through-hole, and mixed-technology assembly; inspection and testing; and agreed box-build or integration work. The scope available for a particular project depends on our written review and confirmation.
A signed project agreement and mutually accepted order-specific terms take precedence over this page. Specifications, pricing, delivery commitments, payment terms, acceptance criteria, warranties, and remedies must be established in the applicable order documents. These website terms do not amend an existing order or override rights that cannot lawfully be excluded.
2. Website Use and Technical Information
You may use this website to evaluate our services and submit legitimate business enquiries. You must not interfere with website operation, attempt unauthorized access, submit malicious files, or use the website in violation of applicable law.
Capability tables, product examples, technical articles, and estimated lead times provide general information. They are not a confirmation that every combination of materials, dimensions, tolerances, and processes is available. Final manufacturability and production requirements are subject to project review and the specifications accepted for your order.
3. Enquiries, Quotations, and Order Confirmation
Please provide accurate company details, quantities, required delivery dates, and the intended project scope. A request for quotation, website form submission, or purchase order does not by itself confirm an order or authorize production. Production begins only after we confirm acceptance in writing and the agreed prerequisites are met.
Quotations are based on the submitted specifications and the commercial assumptions stated in the quotation. Currency, validity period, tooling or engineering charges, taxes, freight, payment arrangements, and other exclusions are governed by the quotation and accepted order. Changes to the design, quantity, materials, component availability, or schedule may require a revised quotation.
4. Customer Files, Specifications, and Revision Control
The customer is responsible for providing a complete, consistent, and authorized manufacturing package. Depending on the project, this may include Gerber or ODB++ data, drill files, board outlines, stackups, fabrication drawings, bills of materials, placement data, assembly drawings, programming files, and test requirements.
Identify the approved revision and resolve conflicting information before production release. DFM or DFA feedback assists manufacturing review; it does not replace the customer’s design verification or approval. Changes proposed during review must be agreed in writing. Once a revision is released, any further change must be reviewed for its effect on cost, materials already committed, work in progress, and delivery.
5. Materials and Component Sourcing
Specify required laminates, copper construction, surface finish, approved manufacturers, component part numbers, and any restrictions on substitutions. Alternative materials or components require customer approval before use where they differ from the accepted specification.
For customer-supplied components, agree the required quantities, attrition allowance, packaging, handling instructions, and arrangements for unused stock. Component shortages, obsolescence, allocation, and supplier changes may affect pricing or timing and must be addressed through the project confirmation process.
6. Manufacturing Quality, Inspection, and Testing
The applicable IPC requirements, acceptance class, tolerances, inspection methods, electrical tests, functional tests, traceability, and documentation must be specified and accepted for the order. A capability or certification mentioned on the website does not mean that every order includes a particular test, report, regulatory approval, or certification package.
Functional testing, programming, special reliability testing, and project-specific compliance documentation are included only when agreed in the scope. The customer must provide or approve the necessary procedures, limits, fixtures, software, and acceptance criteria.
7. Pricing and Payment
Payment currency, deposits, milestone payments, credit terms, and payment due dates are those agreed in writing. Production or shipment may depend on receipt of the required payment or other agreed release conditions. Verify any request to change payment instructions through an established contact channel before transferring funds.
8. Lead Times, Shipping, and Import Requirements
Lead-time estimates depend on complete approved files, resolved engineering questions, required payments, material availability, and agreed production capacity. A firm shipment date applies only when confirmed in the order documents. We will communicate material changes to the agreed schedule when identified.
Shipping responsibilities, freight charges, insurance, customs clearance, duties, and transfer of transit risk are governed by the accepted delivery terms. If Incoterms® rules are used, the order should identify the selected rule, named place, and edition. Ownership transfer and payment terms must be specified separately. The customer must communicate destination-specific documentation and import requirements before order acceptance.
9. Receipt, Inspection, and Nonconforming Goods
Inspect packaging and delivered quantities promptly, preserve evidence of transit damage, and follow the receiving and acceptance procedures agreed for the project. If goods appear not to conform to the accepted specifications, contact us promptly with the order number, affected quantity, lot or revision details, and supporting photographs or test results.
We will review reported issues against the agreed requirements. Do not return, rework, or dispose of disputed goods before agreeing the investigation and return arrangements, except where necessary for safety or required by law. Claim periods, warranty coverage, and any repair, replacement, credit, or other remedy are governed by the accepted order or agreement and applicable law. This page does not create a fixed warranty period or automatic acceptance deadline.
10. Order Changes and Cancellation
Requests to change, suspend, or cancel an accepted order must be made in writing and confirmed by us. Custom manufacturing may involve tooling, engineering work, non-cancellable materials, and work in progress. Any resulting charges or disposition of materials must be determined under the agreed order terms, with reference to documented work and commitments already made. Do not assume a cancellation is effective until its terms are confirmed.
11. Intellectual Property and Confidentiality
The customer retains ownership of its pre-existing designs, files, trademarks, and other intellectual property. By providing project materials, the customer confirms that it has the rights needed for us and authorized project suppliers to use them for quotation, engineering review, sourcing, manufacturing, testing, and delivery.
Project materials are to be used only for the agreed project purposes. Non-public information identified as confidential, or reasonably understood to be confidential, should be handled with reasonable safeguards and shared only with personnel or suppliers who need it for the project, subject to applicable confidentiality obligations. A separately signed NDA takes precedence for confidentiality matters.
Ownership of newly developed design work, tooling, fixtures, software, and other OEM/ODM deliverables must be agreed in writing. No transfer of either party’s pre-existing intellectual property is implied. Website text, images, and branding must not be republished for commercial use without authorization.
12. Intended Use and Regulatory Responsibilities
The customer must disclose special environmental, safety, reliability, traceability, and regulatory requirements before the order is accepted. The customer remains responsible for validating its design and finished product for the intended application, including any required market approvals. Our manufacturing review or inspection does not by itself establish approval of a medical device, automotive system, aerospace product, or other regulated end product.
Both parties must comply with the import, export-control, sanctions, and other laws applicable to their respective activities. Restricted end uses and required permits must be identified during project review.
13. Liability and Events Beyond Reasonable Control
Any project-specific allocation of liability, exclusions, or financial limits must be set out in the accepted order or signed agreement and is subject to applicable law. Nothing on this page excludes liability or statutory rights that cannot lawfully be excluded.
If an event beyond a party’s reasonable control materially affects performance, that party should notify the other promptly and discuss mitigation and any revised schedule. The consequences for an accepted order are governed by its agreed terms and applicable law; this page does not create a blanket right to withhold payment or abandon an order.
14. Privacy and External Links
Information about handling business contact details and other personal information is provided in our Privacy Policy. External links are provided for convenience; third-party websites and services have their own terms and privacy practices.
15. Updates and Dispute Resolution
We may update this page to reflect changes in website use or business processes. The updated date identifies the current version. Updates do not retroactively change accepted orders without the parties’ agreement. Retain the order documents and the terms accepted for your project.
Please first raise any dispute with the project contact so that the parties can review the facts and seek a practical resolution. Governing law, court jurisdiction, or arbitration arrangements for an order are those agreed in the applicable written contract; otherwise, the applicable legal rules determine these matters.
